Agreement	CROSSBEAM SYSTEMS CROSSBEAM AUTHORIZED PARTNER (CAP) PROGRAM AGREEMENT THE NUMBERED PARAGRAPHS BELOW SET FORTH THE CROSSBEAM SYSTEMS, INC. "CROSSBEAM AUTHORIZED PARTNER" PROGRAM AGREEMENT (THE "AGREEMENT"). WHEN ACKNOWLEDGED BY THE USER ACCESSING THIS SITE, THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN CROSSBEAM SYSTEMS, INC. ("CROSSBEAM") AND THE COMPANY THAT HAS AUTHORIZED SUCH USER TO REGISTER SUCH COMPANY AS A CROSSBEAM AUTHORIZED PARTNER ("CAP") VIA THIS SITE ("PARTNER"). BY ACKNOWLEDGING ACCEPTANCE OF THIS AGREEMENT, YOU REPRESENT THAT YOU HAVE BEEN AUTHORIZED TO ACCEPT AND ACKNOWLEDGE YOUR ACCEPTANCE OF THESE TERMS ON BEHALF OF THE PARTNER. IF YOU ARE NOT SO AUTHORIZED OR DO NOT AGREE TO THESE TERMS, THEN CROSSBEAM IS UNWILLING TO PERMIT YOU TO COMPLETE CAP REGISTRATION, AND NONE OF THE RIGHTS INDICATED BELOW WILL BE GRANTED TO PARTNER. This Agreement is made on the date indicated above (the "Effective Date"), by and between Crossbeam Systems, Inc., a Delaware corporation, having an office at 80 Central Street, Boxborough, Massachusetts 01719, USA, ("Crossbeam") and the company named above, a corporation (or other legal entity, as indicated above) organized under the laws of the jurisdiction indicated above, having its principal place of business at the address indicated above ("Partner"). PART I. OPERATIONAL TERMS AND LICENSES 1.Appointment as Reseller. Subject to the terms and conditions of this Agreement, Crossbeam hereby appoints Partner a Crossbeam-authorized reseller, and grants Partner the personal, nonexclusive, and nontransferable right, during the Term, to (a) market and distribute the Products solely to End Users located in the Territory pursuant to orders originating in the Territory for shipment to End Users for installation in the Territory and (b) demonstrate the Products to End Users located in the Territory. Partner may not resell Product or Services to another reseller, agent, broker or other intermediary in the chain of distribution. Unless otherwise authorized by Crossbeam in writing, Partner will not purchase Products or Services from any source other than Distributors. If Partner purchases demonstration and internal evaluation units of the Products, Partner shall use these Products solely for demonstration, internal evaluation and testing purposes. Partner shall not distribute, sell or sublicense to any third party any of these demonstration or evaluation Products without the prior written consent of Crossbeam. 2.License to Distribute Software. Subject to the terms and conditions of this Agreement, Crossbeam hereby grants to Partner, during the Term of this Agreement, a personal, nonexclusive and nontransferable license to distribute the Software directly to End Users pursuant to Section 1 above, but only as such Software has been included in the Products by Crossbeam, (ii) to demonstrate the Software to End Users in the Territory, and (iii) to use the Software solely for the purpose of providing any support services contemplated by this Agreement and for no other purpose. 3.Marketing and Promotion Partner agrees to promote the features, benefits, and pricing and availability of the Products to potential customers in the Territory in Partner's ordinary course of business. Partner shall market, promote, and distribute the Products in compliance with the terms of this Agreement and in a manner which reflects favorably upon the Products and upon the good name, good will and reputation of Crossbeam. When requested by Crossbeam, Partner shall provide information to Crossbeam regarding sales leads, referrals and services provided relating to the Products. 4.CAP Program Requirements and Benefits Partner will at all times comply with the policies and criteria established by Crossbeam for the CAP program, as set forth at http://www.crossbeam.com/partners/CAPP_policy.php, including but not limited to maintaining and adequately training, on an on-going basis, a sufficient staff of qualified sales, marketing, technical and support personnel familiar with the applications, features, benefits, operation and configuration of the Products so as to effectively promote and support the Products, commensurate with Partner's certification level. Partner will have access to Crossbeam's restricted-access website providing various tools and resources to aid in Partner sales efforts. Partner will have such benefits as are indicated on the CAP program web site as applicable for the level of certification/specialization maintained by Partner. Crossbeam may disqualify Partner from the Partner program or change Partner's certification and specialization levels if Crossbeam determines Partner does not meet the then-current qualifications for its designated levels. Crossbeam reserves the right to audit or request additional information from Partner to ensure that Partner is complying with this Agreement and any promotional programs and/or continues to qualify for the Partner program. 5.Support. Partner shall use its best efforts to ensure that Crossbeam support services ("Link" or "Contact") are sold with each Product sold hereunder. Crossbeam support services are described at http://www.crossbeam.com/services/support_overview.php. 6.Product Packaging Alterations. Partner shall not remove, alter or obscure any copyright, trademark, patent or other proprietary notice, label, warning, disclaimer or other marking or documentation on or in the Products, including without limitation, the Hardware Agreement, the EULA, or other terms or conditions that are on, in or packaged with the Products. Without limitation to the foregoing, Partner understands that (i) Crossbeam or the Distributor will package the Products containing a Hardware Agreement, (ii) that the Software will be subject to the EULA either embedded within it or packaged with the Products, and (iii) that the Products may also include Third Party Software, which software will itself contain or be associated with an applicable end-user license agreement provided by the software vendor. Partner agrees not to remove such agreements from the Products or to undertake any other actions that could limit the enforceability of such agreements. Partner shall not add any additional trademarks or other proprietary notices, labels, markings or documentation on or in the Products without the prior written consent of Crossbeam. Partner will take all steps reasonably requested by Crossbeam or Distributor to inform End Users of any applicable restrictions and limitations regarding the use of the Products. 7.Reporting. Upon request from Crossbeam, Partner shall provide information to Crossbeam indicating Products sold during the period covered by the request, as well as the End User name, contact information, and date of shipment for each sale. The report shall be provided in such format as Crossbeam may reasonably require. The End User names furnished are intended for use in compliance, support planning, product safety notices, order processing and scheduling, marketing statistical use and Crossbeam internal reviews and not for any other use. PART II. TERM AND TERMINATION 8.Term. Unless earlier terminated in accordance with Section 9, the term of this Agreement ("Term") will begin on the Effective Date and will end on the first anniversary of the Effective Date ("Initial Term"). If the parties intend to continue the relationship hereunder, Partner will be expected to re-register as a CAP, in accordance with the terms of the then-current CAP agreement. 9.Termination. (a)For Convenience. Either party may terminate this Agreement without cause upon at least 60 days' prior written notice to the other party; provided, however, that Crossbeam may terminate this Agreement immediately upon notice to Partner within the first 30 days of the Effective Date. (b)For Material Breach. Either party shall have the right to terminate this Agreement by written notice sent to the other if the other party breaches any material provision of this Agreement and has failed to cure such breach or has failed to commence a curing action that is satisfactory to the non-breaching party within thirty (30) days following the receipt of such notice. Crossbeam reserves the right to determine that a breach of Section 6, 11, 15 or 16 is incapable of cure and to therefore terminate this Agreement effective immediately on notice. (c)For Insolvency Event. This Agreement shall terminate immediately upon written notice if Partner becomes the subject of any proceeding under any bankruptcy, insolvency or debtor's relief law, makes an assignment for the benefit of a creditor or is unable to meet its current financial obligations as they come due, or if a receiver is appointed to take possession of any part of Partner's assets. (d)Due to Merger. Crossbeam shall have the right to terminate this Agreement immediately by written notice sent to Partner in the event that there is (i)†a merger, consolidation or reorganization of Partner with or into another corporation or other entity, (ii)†creation of a new majority interest in, or change in majority ownership of, Partner, (iii)†a sale of all or substantially all of Partner's assets, or (iv)†Partner makes any assignment in violation of this Agreement. 10.Effect of Expiration or Termination. (a)License to Market and Distribute. Partner's right to market and distribute the Products and to use Crossbeam's Marks will cease immediately upon expiration or termination. Termination or expiration of this Agreement shall not affect licenses to copies of Products properly delivered to End Users prior to the effective date of the termination or expiration. (b)Survival. The following provisions of this Agreement, as well as any others which, by their nature, would reasonably be expected to survive expiration or termination of this Agreement, will survive such expiration or termination: Sections 6, 10, and 11 through 21. (c)No Compensation for Termination. Without prejudice to any other remedies which either party may have in respect of any breach of this Agreement, neither party shall be entitled to any compensation or like payment from the other party solely on account of a termination of this Agreement. (d)Confidential Information. Partner shall, at Crossbeam's direction, either return or destroy all Crossbeam Confidential Information in Partner's possession as of the termination or expiration of this Agreement, subject to Partner's right to retain and use such Confidential Information solely as is necessary to continue to support and maintain the Products pursuant to sub-paragraph (c) above. PART III. OTHER TERMS 11.Software Use. Partner understands and agrees that any and all use of the Software is subject to the terms and conditions of the EULA, and Partner shall abide by the license restrictions set forth herein and therein and shall require End Users to whom it has sold the Products do the same. Crossbeam and its licensors shall retain sole and exclusive ownership of the Software (and all whole or partial copies thereof), including all intellectual property rights therein. Partner acknowledges that it has and shall acquire no rights therein, other than the limited rights expressly granted under this Agreement. 12. No Further Warranties Except as expressly stated in the Hardware Agreement and the EULA, there are no warranties, express, implied or arising from custom, course of dealing or trade usage, and Crossbeam makes no warranty to Partner or any End Users and specifically disclaims any implied warranties of title, non-infringement, merchantability and fitness for a particular purpose. Crossbeam's express warranties will not be enlarged, diminished or affected by and no obligation or liability will arise out of Crossbeam's rendering of technical or other advice or service in connection with the Products. Partner shall take such actions as are reasonably necessary to ensure the enforceability of the aforementioned disclaimers and shall undertake no action that would increase Crossbeam's obligations or liability to any End User or other party with respect to the Products. 13.Indemnification. Partner will indemnify, defend and hold Crossbeam harmless against all claims, losses, liabilities, damages, expenses, including reasonable attorney's fees and costs, arising out of or resulting from (i) Partner's marketing, distribution, resale, support or maintenance of the Products, including without limitation any claims or statements regarding the Products inconsistent with or in addition to those set forth in Crossbeam's applicable documentation, (ii) bodily injury or damage to tangible personal property that is caused by any negligent or intentional act or omission of Partner or any of its or their employees, agents, contractors or representatives, or (iii) breach by Partner of this Agreement. 14.LIMITATION OF LIABILITY. (a) In no event shall Crossbeam be liable to Partner or any End User, for any special, indirect, incidental, consequential or punitive damages (including, but not limited to any damages resulting from loss of use, loss of data, loss of profits or loss of business) arising out of or in connection with this Agreement, the Products, Software or any other products, materials or services furnished hereunder, even if Crossbeam has been advised of the possibility of such damages. (b) In no event shall Crossbeam have any liability arising out of or in connection with this Agreement in an amount exceeding the amounts paid by Partner to Distributor for Crossbeam Products and services in the six (6) months immediately preceding the event or situation giving rise to the claim, or five hundred thousand U.S. Dollars (U.S. $500,000) whichever is less. (c) The limitations stated in this Section 14 shall apply regardless of the form of action, whether the asserted liability or damages are based on contract (including, but not limited to, breach of warranty), tort (including, but not limited to negligence), statute, or any other legal or equitable grounds. 15.Confidentiality. For purposes of this Agreement, "Confidential Information" shall mean information, in whatever form, pertaining to Crossbeam's business, finances, technology, marketing/product strategy and product offerings (including, without limitation, the Products and pre-release information about any of Crossbeam's or its licensors' products or software) that is identified as, or which Crossbeam would reasonably expect Partner to understand is, proprietary or confidential. Partner agrees not to use Confidential Information except to the extent necessary to implement the purposes of this Agreement. Partner shall limit disclosure of Confidential Information received from Crossbeam to those employees or agents of Partner whose use of or access to the Confidential Information is necessary to carry out Partner's obligations under this Agreement, and shall not disclose or divulge such Confidential Information to any third party. Partner shall exercise all commercially reasonable security precautions to protect the integrity and confidentiality of the Confidential Information, and shall secure from all employees, agents or contractors having access to the Confidential Information agreements, at least as protective of the Confidential Information as the provisions of this Section 15, to maintain such Confidential Information in confidence. Confidential Information shall not include information that Partner can demonstrate: (a)†was in Partner's possession without confidentiality restriction prior to disclosure hereunder, (b)†is or has become generally available to the public through no act or omission of Partner, (c)†has been rightfully received by Partner from a third party without restriction on use or disclosure or (d)†is independently developed by Partner without use of the Confidential Information. 16.Trademarks. (a)Use of Trademarks. Subject to the terms and conditions of this Agreement, Crossbeam hereby grants to Partner a non-exclusive, non-transferable, license to use the Trademarks in the Territory in connection with the promotion and demonstration of the Products, and for no other purpose. Partner shall not use any trademark other than a Trademark, as authorized by Crossbeam, to identify the Products. All usage of the Trademarks shall be subject to and in accordance with the Guidelines. Partner shall provide to Crossbeam access to and/or hard copies of any proposed use of the Trademarks prior to such usage being made public, for Crossbeam's prior review and approval. Crossbeam shall have the right to modify or alter the way in which the Trademarks appear, in accordance with the terms of this Agreement and the Guidelines. (b)Rights to Trademarks. Partner acknowledges the Trademarks are the sole property of Crossbeam, and Partner agrees that it shall not assert any claim of ownership to the Trademarks, or otherwise interfere with Crossbeam's sole and exclusive rights to said Trademarks, and that all goodwill from use of the Trademarks by Partner shall inure to the benefit of Crossbeam, and that Partner shall not take any action in derogation of any of the rights in the Trademarks. Partner also agrees that it shall not, during the Term of this Agreement or thereafter use, register or attempt to register with any agency or in any jurisdiction any of the Trademarks or any mark confusingly similar therewith. 17.Compliance with Laws. Partner shall comply with all of Crossbeam's technical, sales and quality policies and with all applicable laws (including but not limited to those relating to payments to officials and to the control of imports and exports) and obtain all licenses, approvals and permits which it is required under applicable laws to obtain in order to import or use the Products and make the payment of fees under this Agreement. For greater certainty, Partner acknowledges and agrees that it shall fully comply with such laws and regulations (including local country laws and regulations and US laws and regulations to the extent they relate to export and re-export) that may be applicable to Partner's import, use, resale, import, export or re-export of the Products. 18.Export Without limiting the generality of Section 17, Partner hereby acknowledges that the Products are subject to export controls under the laws and regulations of the United States. Partner agrees to comply with all laws and regulations governing the use, export, re-export, and transfer of the Products and will obtain all U.S. and local authorizations, permits, or agreements required pursuant to such laws and regulations. Partner specifically represents and warrants that it will not export or re-export the Products to any country to which the United States has embargoed or restricted the export of goods or services, including but not limited to Cuba, Iran, North Korea, Sudan, or Syria, nor to nationals of those countries, nor to any other restricted destinations or persons. 19.Force Majeure. Neither party is liable for its failure or delay in performing its obligations under this Agreement due to strikes, wars, revolutions, acts of terrorism, fires, floods, severe weather, explosions, earthquakes, parts or labor shortages, government regulations, or other causes beyond its reasonable control. 20.Assignment. Neither this Agreement nor any license or other rights or obligations hereunder may be assigned or otherwise transferred (in whole or in part), whether by operation of law or otherwise, by Partner without Crossbeam's prior written consent, and any such attempted assignment or transfer shall be void, including any such attempted assignment or transfer in connection with a merger or acquisition of Partner. Crossbeam may assign or otherwise transfer its rights, title and interest in and to this Agreement (or any part thereof), whether by operation of law or otherwise, in conjunction with a change of ownership, merger, acquisition, or sale or transfer of all, substantially all or any part of its business or assets. 21.General. (a)This Agreement, along with other materials on Crossbeam's web sites, may be updated from time to time. Crossbeam reserves the right to change elements of the CAP program at its discretion. Partner is solely responsible for checking Crossbeam's web sites for updates and for continued compliance with all applicable CAP program requirements. Partner's continuing participation in the CAP program constitutes acceptance of Crossbeam's then-current terms and conditions. Any waiver, amendment or modification of any right, remedy or other term under this Agreement will not be effective against Crossbeam unless in writing and signed by an authorized Crossbeam representative. (b)The relationship of Crossbeam and Partner is that of independent contractors. There is no relationship of agency, partnership, joint venture, employment or franchise between the parties. Neither party has the authority to bind the other or to incur any obligation on the other's behalf or to represent itself as the other's agent or in any way that might result in confusion as to the fact that the parties are separate and distinct entities. (c)The validity, interpretation, and performance of this Agreement shall be controlled by and construed under the law of the Commonwealth of Massachusetts, USA. Exclusive jurisdiction of all disputes arising out of or in connection with this Agreement or its performance or breach shall reside in the appropriate court in Massachusetts, USA, and Partner consents to the jurisdiction of such courts by execution of this Agreement. The parties expressly exclude the application of the Convention on Contracts for the International Sale of Goods to this Agreement. (d)The original of this Agreement has been written in English and English is the governing language of the Agreement. Partner waives any right it may have under the law of the Territory to have this Agreement written in any other language. Any translation of this Agreement from its English version is provided for convenience only. Les parties aux prÈsentÈs confirment leur volontÈ que cette convention de m'me que tous les documents y compris tout avis qui s'y rattachÈ, soient redigÈs en langue anglaise (Translation: "The parties confirm that this Agreement and all related documentation is and will be in the English language"). (e)If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and the invalid or unenforceable provision will be reformed to make the Agreement as a whole enforceable while maintaining to the greatest extent possible the original intent of the parties. (f)During the Term and for three (3) years thereafter, Partner will keep suitable records consistent with industry custom and practice to demonstrate compliance with this Agreement, and Crossbeam or its representative may, with one week prior notice, review these records during normal business hours for the sole purpose of determining Partner's compliance with this Agreement. (g)Either party's failure to enforce any provision of this Agreement will not be deemed a waiver of that provision or of the right to enforce it in the future. (h)The click-through, English language version of this Agreement (which appears during the CAP registration process and must accepted by Partner in order to complete the registration process) constitutes the entire Agreement between the parties as to the subject matter hereof and supersedes any and all written or oral agreements previously existing between the parties with respect to such subject matter, as well as any downloaded or translated version of the Agreement, whether or not such downloaded or translated version is signed by either party. (i)All notices or other communications required or permitted hereunder shall be in writing and shall be deemed to have been given if sent via electronic mail by Partner to CAPprogram@crossbeamsys.com, and by Crossbeam to the electronic mail address submitted by Partner during the CAP registration process, which address may be modified by a notice to Crossbeam in accordance with this paragraph. Notices shall be deemed received one business day after being sent by electronic mail. PART IV DEFINITIONS 22.Definitions. As used in this Agreement, the following capitalized terms shall have the following meanings unless otherwise indicated: (a)"Crossbeam Software" shall mean the software developed by or for Crossbeam and included in the Products by Crossbeam or separately provided by Crossbeam in connection with the operation of the Products. (b)"Distributor(s)" means an entity authorized by Crossbeam to distribute and license Products and Services to resellers in the Territory. A list of Distributors is available at http://www.crossbeam.com/partners/channel_partners.php, and such list may be amended or updated by Crossbeam from time to time. (c)"End Users" shall mean end user customers of the Product who are located in the Territory and use the Products for their own use and not for resale or distribution to other parties. (d)"EULA" shall mean the Crossbeam Systems, Inc. standard End User Software License Agreement normally provided on, in or with the Products, the current copy of which is available at http://www.crossbeam.com/resources/Crossbeam_EULA.pdf, and which is subject to change without notice from time to time. (e)"Guidelines" shall mean the guidelines for use of Crossbeam's Marks provided at http://www.crossbeam.com/resources/Crossbeam_trademark_guidelines.pdf which are subject to change without notice from time to time. (f) "Hardware Agreement" shall mean the Crossbeam Systems, Inc. Hardware Terms and Conditions normally provided with the Products, the current copy of which is available at http://www.crossbeam.com/resources/Crossbeam_hardware_terms.pdf, and which is subject to change without notice from time to time. (g)"Marks" or "Trademarks" shall mean those trade names, trademarks, service marks and logos of Crossbeam contained on the Products or as listed at http://www.crossbeam.com/resources/Crossbeam_trademark_guidelines.pdf, as may be revised by Crossbeam from time to time in its discretion. (h)"Price List" shall mean Crossbeam's current published price list applicable in the Territory. As used herein, the term "Price List" may actually refer to more than one price list where different price lists are applicable to different sub-territories within the Territory. (i)"Product(s)" shall mean all Crossbeam product(s) as listed in the Price List, including the Software. For purposes of this Agreement, a "Product" may also include a professional service to be delivered by Crossbeam to an End User. (j) "Software" shall mean the Crossbeam Software and Third Party Software. (k)"Territory" shall mean the territory indicated on the first page of this Agreement. (l)"Third Party Software" shall mean any third party software included in the Products by Crossbeam.
